BANKING &
FINANCE


We act for Cavmont Bank Limited who launched a restructure in June 2019 in order to optimize its long-term
sustainable performance. This matter was important as
the restructure coincided with the enactment of a new
Employment Code Act No. 3 of 2019 (the “ECA”) which
came into effect on 10 May 2019. The ECA changed the
regulatory landscape on employment law in Zambia.
We advised the Client throughout the restructure, including the process of redundancy to be followed, the
consultation process, the notifications to be made, the
timelines to be followed and the payments to be made
to the employees. We reviewed the communications
made to the employees throughout the restructure including the relevant notices and letters confirming termination by redundancy and communications to and
from the Labour office in respect of the restructure.



We acted for European Investment Bank (EIB) on three
separate financing arrangements with the Government
of Zambia for various projects undertaken by ZESCO
Limited, a state-owned power company in Zambia. The
transactions involved a Euro 50 million loan to develop a
hydro power plant and transmission line in itezhi tezhi;
a Euro 78 Million loan to reinforce power transmission
and distribution infrastructure in Lusaka; and a Euro 22
million loan in relation to the Kafue-Livingstone power
transmission line. Our role involved advising EIB on authorisations with respect to the financing and Zambian
law compliance, advice on legal requirements limiting
Government debt and taxation of interest payments by
the Government of Zambia.

CAPITAL MARKETS


We acted as legal advisers to a state-owned enterprise (ZAFFICO) in relation to its listing on the Lusaka Securities Exchange.
Our role involved providing a road map to listing, updating the company’s constitutional documents, obtaining various regulatory approvals and providing opinions on matters to do with disposal of state assets, management of public finances,
procurement and capital market regulations. This was the first state owned enterprise to be listed as part of the Government
of Zambia’s policy to divest ownership of state-owned enterprises. This was therefore the first IPO in Zambia that was limited
to Zambian investors only. The listing was the first in the last five years and it was carried under new securities law legislation
which was passed on 2016



We acted for our Client Grit Real Estate Income Group who was undertaking a fundraising exercise to facilitate its listing on
the London Stock Exchange. We conducted a legal due diligence on the leases and corporate information of the 3 Zambian
companies that are owned by the Client for this purpose, for the purpose of advising the Client on the status of the leases
held by its companies. Shearman & Sterling LLP acted as the capital markets legal advisors of the client in its listing on the
London Stock Exchange

COMMERCIAL


Our Client, Zambeef Products Plc made a decision to sell its farms located in the Sinazongwe District of the Southern Province of the Republic of Zambia. The Vendors are a Chinese Company named Chenguang Biotech (Zambia) Agri-Dev Limited.
We are acting as legal advisors for Zambeef, being the seller in the transaction, while Isaac and Partners are acting as the
legal advisor for Chenguang, the buyer in the transaction.



We act for Graduare Property Development Limited, The Client owns one of the largest and busiest malls in Lusaka. The
government undertook a road expansion project and construction of a fly-over bridge that would negatively affect the flow
of traffic into the mall and its accessibility. The matter was important because it pitted 2 major kinds of development against
each other. Our role was to insist on the government following the procedures in the environmental legislation and ensuring that the necessary approvals were obtained. We also had to seek enforcement of approval conditions and employ Court
process in respect of the government’s decision to construct one type of bridge as against the other.

COMPETITION


The Competition and Consumer Protection Commission (“CCPC”), the competition authority, made allegations that our Client, a leader in the Tobacco Industry, had abused its dominant position in the distribution off tobacco in Zambia. Our role
involved working with economists to navigate the complex competition legal framework involving abuse of dominance.
We also made written submissions to the competition authority and appeared before the competition authority Through
representations made to the competition authority, the Client was not fined but was instead given directives to amend its
distributorship agreements, reinstate the complainant and undertake that they will not engage in any contravening distributorship agreements.



We also acted as legal advisers in an investigation by the competition authority on our Client, a multinational advertising
company, for implementing a merger without notifying the competition authority contrary to Section 37 of the Competition
Act. The merger involved the acquisition of advertising equipment and rights of another advertising company (the “Target”)
by the Client. The Target was deregistered in May 2017 and therefore the Client was solely liable for implementing a merger
without authorisation.



Musa Dudhia & Company provided legal advice to the Client on the investigation process and made submissions and appeared before the competition authority which led to the settlement of the matter. Musa Dudhia & Company were able to
facilitate a settlement of the matter leading to the Client paying a minimal penalty and formally notifying the merger retrospectively.

MERGERS AND ACQUISTIONS


We acted as local counsel in the proposed acquisition by Equity Group Holdings Plc from Atlas Mara Limited of banking
assets in four countries. In acting for the Client, we assisted the Client in acquiring the target companies, thereby enabling
expansion of its African footprint. Through the transaction, the Client provided access to competitive and tailored financial
services to improve livelihoods whilst delivering value to stakeholders. Our role was to conduct a due diligence and review
transactional documents from a Zambian legal perspective covering the framework agreement, share purchase agreements,
and transitional service agreements. We also assisted in fulfilling approval from the Bank of Zambia and Competition and
Consumer Protection Commission.

We also acted for Zambia’s largest property development, Real Estate Investment Zambia Plc in the US$25 million leveraged
acquisition by merger of another property owning Zambian listed company. The merger of these two listed companies was
the first of its kind in Zambia and required detailed and complicated negotiations with majority and minority interests in both
companies, lock-ins of key shareholders, irrevocable commitments from selling shareholders, amendment to the articles,
public shareholder meetings and obtaining of regulatory approvals from the Securities and Exchange Commission and the
Competition and Consumer Protection Commission and compliance with the Takeover and merger requirements in Zambia

POWER


Our client Power Construction Corporation of China Limited and General Electric have
been awarded a contract to build the Batoka Gorge Hydro Electric Scheme, which involves
building a 2,400 mega-watt power station on the border of Zambia and Zimbabwe. The
project is being undertaken by the Zambezi River Authority, a statutory joint venture
between the Governments of Zambia and Zimbabwe. Our role involved advising on
public procurement laws and drafting a regulatory universe setting out material laws
and requirements to undertake a power project from a Zambian law perspective. We
act as local counsel while Pinsent Masons act as international counsel to the client.
Zambia and Zimbabwe are currently facing a power shortage leading to long hours of
load management which is adversely affecting production and economic growth so this
is This project will address such deficit and also be a springboard for future economic
growth and increased demand owing to population growth and urbanization. According

relation to a US$ 100 million finance to Zesco Limited (the country’s power utility company)
relating to the Kafue Gorge Lower Hydro Power Plant in Zambia. We advised the Client
in negotiating and finalizing the finance documents, advised on appropriate security as
well as Zambian law requirements to mitigate risk for the Client. Our scope also involved
customary project finance opinions and assistance with conditions precedent.


Advising Enel Green Power in the development of a 50MW solar power plant under the first
ever scaling Solar project in Zambia. The project is a World Bank Group program designed
to make it easier for governments to procure solar power quickly and at low cost through
competitive tendering and pre-set financing, insurance products and risk products. Our
role started with the pre-bidding phase by providing regulatory advice on renewable
energy in Zambia, reviewing the project documents and assisting EGP in putting together
the bid documents in compliance with the RFP issued by the Government of Zambia
through the Industrial Development Corporation. EGP was one of the two bidders to win
the tender out of 48 bidders. EGP bid 7.84/KWH making it one of the lowest tariffs seen
to date in Africa. Post award of the tender, we are assisting EGP with negotiating the
project documents and the land agreements. This transaction is important not only for its
potential to add to power capacity in Zambia but also because it is the trendsetter being
phase one in a planned 600MW solar project under the program.

LITIGATION



Our Client, Norsad Finance Limited subscribed for US$12 500 000 worth of secured notes traded on the Lusaka Securities Exchange. Proceeds were to be used by the issuer to purchase interim payment certificates from small scale road contractors.
The issuer defaulted on coupon payments and by the time of the maturity date, was unable to redeem the Client’s notes.
It was discovered that the guarantee and insurance for the note program were cancelled. The note trustee in the matter is
also closely linked to the securities exchange and has been argued to be a single economic unit. Statutory negligence is also
being considered in this case. Our role in acting for Norsad Finance Limited was to commence an action in Court and pursue
all various players and have the issues determined. We represented a Client in the expert determination proceedings. The
parties entered into a share purchase agreement for share capital in MRI Agro Zambia Limited and MRI Seed Zambia Limited.
Later it was discovered that there was non-compliance in relation to pension contributions. The Client contended that he was
entitled to treat the liability as a warranty claim, for which he would only be liable to the extent it exceeded US$500 000. The
purchasers however argued that the breach was of a tax covenant and our Client was liable for the full amount. This was an
important case as it clarified whether the word tax, used in agreements, can apply to pension contributions as well. In advising the Client, we dealt with the complex issue of what happens where one acts in breach of contract can be classified under
2 different provisions and whether or not either party choose unilaterally under which provision the loss should be assessed.



We act for Chambishi Metals Plc who mine, toll and refine various minerals. The Client took out an all risks insurance policy
and suffered business interruption loss during the concerned period. The matter involved analyzing and determining what
amounts to business interruption and whether separate breakdowns of an item of machinery on different dates are attributable to a single cause with the result that only are deductible applies under the insurance policy.
